Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your purchase of the SMS Gateway source code ("Product"), provided by FlowOs LLC ("Company", "we", "us"). By purchasing the Product, you agree to these Terms.
The Product is the SMS Gateway source code and associated documentation. The SMS Gateway is a multi-provider SMS routing gateway that you deploy on your own infrastructure to send and receive SMS messages between a CRM (such as GoHighLevel or any webhook-compatible CRM) and one or more telephony providers (such as Telnyx, Twilio, or the built-in Android SIM gateway). The Product is sold as a one-time purchase.
2. Source Code License Grant
Upon purchase of the Product, we grant you a perpetual, non-exclusive, non-transferable license to:
- Use, copy, and modify the source code
- Deploy the Product for your own business and for your business's clients through your CRM deployment
- Create derivative works for your own use or your clients' use
- Configure the Product to integrate with any CRM, telephony provider, or infrastructure you choose
3. Source Code Restrictions
You may not:
- Redistribute, resell, sublicense, or share the source code in whole or in part
- Create a competing SMS gateway product, template, boilerplate, or starter kit using the source code
- Offer the Product as a hosted service to third parties who have not purchased their own license
- Share your download link, license key, or access credentials with third parties
- Claim ownership of the original, unmodified source code
- Use the source code or its outputs to train, fine-tune, or otherwise develop artificial intelligence or machine learning models
4. Delivery
After payment, you will receive a download link via email. The download link provides access to a ZIP file containing the complete source code, setup documentation, and license file. Downloads are limited to 5 per license key. License keys do not expire. If you run out of downloads, contact support for more.
5. Product-Specific Terms — SMS Gateway
The following terms apply specifically to the SMS Gateway and how it is used after purchase:
Agency Deployments
You may operate your deployment of the Product for your own business and for your business's clients through your CRM sub-accounts. Your clients are your customers, not ours. The Company has no contractual relationship with your clients and owes them no support, warranty, or service obligations.
One Business, Unlimited Clients
Your license authorises deployment for one business you operate. You may serve unlimited client sub-accounts through that deployment. Operating multiple separate businesses on the same license — for example, running two independent agencies from a single Product license — requires separate licenses per business.
Your Communications Providers
The Product includes integrations with third-party telephony and SMS providers (for example Telnyx, Twilio, Vonage, and Android-based SIM gateways). You configure these integrations using your own provider accounts, under your own agreements with those providers. The Company is not a party to those agreements and does not provide telephony service. Your provider costs, rate agreements, spending limits, and account standing are entirely your responsibility.
Messaging Compliance — Your Responsibility
Any SMS messages sent from your deployment are sent by you, not by the Company. You are solely responsible for compliance with all applicable communications laws, regulations, and carrier requirements in every jurisdiction you send to or receive from, including but not limited to:
- The Telephone Consumer Protection Act (TCPA) in the United States
- The CAN-SPAM Act in the United States
- A2P 10DLC registration and campaign compliance in the United States
- CTIA messaging guidelines
- The General Data Protection Regulation (GDPR) in the European Union and United Kingdom
- The Australian Spam Act 2003
- Canada's Anti-Spam Legislation (CASL)
- Any and all consent, opt-out, sender identification, and content restrictions imposed by SMS carriers or regulators
- Any obligations arising from your telephony providers' Acceptable Use Policies and Terms of Service
You warrant that you have obtained all necessary consents from message recipients before sending, that you honour opt-out requests, and that your messaging content complies with all applicable laws. Any fines, penalties, carrier suspensions, or legal action arising from your messaging activity are your sole responsibility.
Message Logs and Data Retention
The Product logs message metadata (numbers, timestamps, provider, status) and optionally message content to your database on your infrastructure. You are responsible for the security of stored message data, retention period compliance under applicable data protection laws (including GDPR right-to-erasure requests from message recipients), and any disclosure obligations.
6. UK and EU Consumers — Right to Cancel
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and the EU Consumer Rights Directive, you normally have a 14-day right to cancel a distance purchase. However, this right does not apply to digital content that has been accessed or downloaded.
By completing your purchase, you expressly consent to immediate delivery of the digital content (source code) and acknowledge that you lose your right to cancel once the download link is provided. This consent is obtained during the checkout process.
7. Ownership
FlowOs LLC retains all intellectual property rights to the original source code. Your license grants usage and modification rights but does not transfer ownership of the underlying intellectual property.
8. No Warranty
The Product is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Product will be error-free or meet your specific requirements. In particular, we do not warrant that the Product will:
- Deliver messages successfully in any specific carrier or country
- Comply with any specific regulatory framework
- Be free of security vulnerabilities
- Remain compatible with third-party providers if those providers change their APIs
9. Limitation of Liability
In no event shall FlowOs LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Product. Our total liability shall not exceed the amount you paid for the Product. This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise).
10. Third-Party Services
The Product integrates with third-party services (Stripe, Telnyx, Twilio, Cloudflare, Railway, and others). Your use of those services is governed by their respective terms and pricing. We are not responsible for third-party service availability, pricing changes, terms changes, API changes, account suspensions, or other decisions made by those providers.
11. Updates
Lifetime updates to the source code Product within your purchased major version (v1.x for a v1 purchase) are provided at our discretion. Updates will be made available through the same download mechanism. Major version upgrades (v2, v3, etc.) may require an upgrade purchase, though loyalty discounts for existing buyers will be offered where applicable. We are not obligated to provide updates on any particular schedule or to maintain backward compatibility.
12. Termination
We may terminate your license if you violate these Terms. Upon termination, you must destroy all copies of the Product in your possession and cease all use. Sections 7, 8, 9, and 10 survive termination.
13. Governing Law
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Mexico.
